Restricted stock and performance award plans are long-term incentive plans which aim to reward performance over a specified period, depending on the extent to which certain conditions have been met.

• Scaleable percentages for accelerating vesting greater than 100%
• Variable online tax elections, including net share delivery, cash withholding or market sale to cover
• Dividend re-investment or equivalents with conditions linked to parent award or as a separate holding
• Online proxy registration
